By accessing or using TraceEntry ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms apply to all visitors, users, and others who access the Service.

2. Description of Service

TraceEntry is a web-based tool that uses artificial intelligence to categorize financial transactions. The Service processes uploaded bank statements and transaction files, applies AI-powered categorization, and allows users to review, edit, and export categorized data.

3. Account Registration

Some features of the Service require account registration. When you create an account, you agree to:

  • Provide accurate and complete information
  • Maintain the security of your password
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access

4. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose
  • Upload files containing malware or malicious code
  • Attempt to gain unauthorized access to the Service
  • Interfere with or disrupt the Service
  • Reverse engineer or attempt to extract source code
  • Use automated systems to access the Service without permission
  • Share your account credentials with others
  • Resell the Service without authorization

5. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you acknowledge that:

  • Transaction data is processed in-memory and not permanently stored
  • Transaction data is immediately deleted when you export your file
  • If you don't export, session data automatically expires after 4 hours
  • Vendor names may be sent to third-party AI services for categorization
  • You are responsible for the data you upload

6. Payment Terms

Paid features of the Service are billed per file processed:

  • Prices are displayed before processing begins
  • Payment is processed through Stripe
  • All sales are final unless quality issues are reported within 24 hours
  • Refunds are provided at our discretion for quality issues

7. Intellectual Property

The Service, including its original content, features, and functionality, is owned by TraceEntry and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You retain all rights to the data you upload and the categorization results you export.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT CATEGORIZATION RESULTS WILL BE ACCURATE OR COMPLETE.

AI-GENERATED CATEGORIZATIONS ARE SUGGESTIONS ONLY. USERS ARE RESPONSIBLE FOR REVIEWING AND VERIFYING ALL CATEGORIZATIONS BEFORE USE IN ACCOUNTING, TAX, OR FINANCIAL REPORTING.

9. Limitation of Liability

IN NO EVENT SHALL TRACEENTRY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless TraceEntry and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising out of or relating to your use of the Service or violation of these Terms.

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Service will cease immediately. You may request account deletion at any time.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the new Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

14. Dispute Resolution

Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
